1. Purpose

This Partnership Agreement outlines the terms under which Axro Technologies may collaborate with individuals, businesses, organizations, communities, or content creators to promote and sell our hosting services.

A partnership does not create an employment relationship, joint venture, franchise, or legal agency unless a separate written agreement expressly states otherwise.

2. Eligibility

Partners must:

• Be at least 13 years old.
• Have authority to represent themselves or their organization.
• Conduct business in a lawful and ethical manner.
• Maintain a positive reputation within their community.

Axro Technologies reserves the right to approve or reject any partnership application without providing a reason.

3. Partnership Benefits

Approved partners may receive benefits such as:

• Referral commissions on qualified hosting sales (if applicable)
• Discounted hosting plans for testing and demonstrations
• Early access to new hosting features and plans
• Priority support
• Co-branded events or campaigns
• Promotional materials and assets

Benefits vary depending on the partnership and may be changed or discontinued at any time.

4. Referrals and Commissions

Where a commission arrangement applies, commissions are earned only on qualified sales generated through the partner’s approved referral links or codes.

Commissions are not earned on renewals unless a separate agreement states otherwise.

Sales that are later refunded, charged back, or found to be fraudulent will have their associated commissions reversed.

Axro Technologies reserves the right to change commission rates, structures, or payout thresholds with reasonable notice.

5. Partner Responsibilities

Partners agree to:

• Represent Axro Technologies honestly and professionally.
• Avoid false, misleading, or deceptive advertising, including claims about uptime, features, or performance that are not accurate.
• Comply with all applicable laws and platform rules.
• Protect confidential information shared during the partnership.
• Respect Axro Technologies' branding guidelines when using logos, trademarks, or promotional materials.
• Not purchase hosting for themselves solely to generate commissions.

6. Intellectual Property

All trademarks, logos, branding, software, designs, and other intellectual property remain the exclusive property of Axro Technologies unless otherwise agreed in writing.

Partners may only use Axro Technologies' branding with prior authorization and in accordance with any provided brand guidelines.

7. Confidentiality

Partners may receive confidential information during the course of the partnership.

Such information must not be disclosed to any third party without prior written permission, unless required by law.

This obligation continues even after the partnership ends.

8. Termination

Either party may terminate the partnership at any time by providing reasonable written notice, unless a separate agreement specifies otherwise.

Axro Technologies may terminate a partnership immediately if the partner:

• Violates this Agreement.
• Engages in illegal or fraudulent activity.
• Damages Axro Technologies' reputation.
• Misuses Axro Technologies' intellectual property.
• Breaches confidentiality obligations.

Upon termination, all rights to use Axro Technologies' branding and promotional materials cease immediately, and any unpaid commissions may be forfeited if the partnership was terminated for cause.

9. Limitation of Liability

Axro Technologies shall not be liable for indirect, incidental, special, or consequential damages arising from a partnership.

Each party remains responsible for its own actions, obligations, and liabilities.

10. Amendments

Axro Technologies may update this Agreement from time to time.

Continued participation in the partnership after changes are published constitutes acceptance of the revised Agreement.

11. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Sri Lanka.

Any disputes shall be subject to the jurisdiction of the courts of Sri Lanka.
